Terms of Service

1. Acceptance of Terms

Welcome to Archet! These Terms of Service ("Terms") are a legally binding contract between you ("User," "you," or "your") and The Deep Lab, Inc. ("The Deep Lab," "we," "us," or "our") regarding your use of the Archet platform and other related products and services (collectively, the "Service"). The Deep Lab, Inc. is a Delaware C Corporation, registered to do business in California, with its headquarters in San Francisco, CA. Archet is a product of The Deep Lab, Inc.

BY CLICKING "I ACCEPT," CREATING AN ACCOUNT, OR BY ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THESE TERMS, INCLUDING OUR PRIVACY POLICY (AVAILABLE AT /privacy), WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE.

NOTICE OF ARBITRATION AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN KINDS OF DISPUTES DESCRIBED IN SECTION 16 (DISPUTE RESOLUTION AND ARBITRATION), YOU AGREE THAT DISPUTES ARISING UNDER THESE TERMS WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND BY ACCEPTING THESE TERMS, YOU AND THE DEEP LAB ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

2. Service Overview

Archet provides an AI-powered agent platform, including but not limited to:

  • Agent Designer for configuring autonomous AI agents with goals, skills, and guardrails
  • Knowledge Base management, including website crawling and document upload
  • Embeddable chat Widget SDK for deploying agents on your websites
  • Connector Hub for integrating third-party services via MCP (Model Context Protocol)
  • Analytics and evaluation tools for monitoring agent performance
  • API access for programmatic agent management and interaction

Important: AI-Generated Output Limitations

The Service uses artificial intelligence (Anthropic's Claude models) to generate agent responses. You acknowledge and agree that AI-generated outputs:

  • May contain errors or inaccuracies: AI models are not perfect and response quality depends on agent configuration and knowledge base content
  • Require human oversight: You are responsible for reviewing agent behavior and setting appropriate guardrails
  • Should not be solely relied upon: Do not use AI-generated outputs as the sole basis for critical financial, legal, medical, or business decisions
  • May vary: Responses to similar inputs may differ between conversations

You assume all risks associated with the use of AI-generated outputs by your agents. The Deep Lab is not responsible for any errors, omissions, or consequences resulting from your agents' responses to end customers.

3. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher, to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you meet this age requirement; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with any and all applicable laws and regulations. If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.

4. Account Registration

4.1 Organization Accounts

To use the Service, you must create an organization account. Organizations support multiple team members with role-based access (owner, admin, member). The account owner is responsible for managing team members and ensuring compliance with these Terms.

4.2 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to notify us immediately of any unauthorized access
  • You are responsible for all activities that occur under your account, including actions by team members
  • You are responsible for securing your deployment API keys and connector credentials
  • We reserve the right to suspend or terminate accounts that violate these Terms

5. Fees and Payment

Certain features of the Service may require you to pay fees through a subscription plan ("Subscription Service"). Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. All fees are in U.S. Dollars and are non-refundable, except as required by law or as otherwise specified in your order.

The Deep Lab reserves the right to determine pricing for the Service. We will make reasonable efforts to keep pricing information published on the Service up to date. We may change the fees for any feature of the Service, including additional fees or charges, if we give you advance notice of changes before they apply. Your continued use of the Service after a price change becomes effective constitutes your agreement to pay the changed amount. You are responsible for all taxes associated with the Service, other than taxes based on The Deep Lab's net income.

Payment is processed through Stripe, our third-party payment processor. If the Service includes a Subscription Service, it will automatically renew for successive periods unless you cancel your subscription or we terminate it. You authorize The Deep Lab or its third-party payment processors to periodically charge all accrued sums. You must cancel your Subscription Service before it renews to avoid billing of the next periodic Subscription Fee.

5.1 Usage Limits

Each subscription tier has specific usage limits (conversations processed, API calls, knowledge base pages). Exceeding these limits may result in:

  • Overage charges as specified in your plan
  • Service throttling or temporary suspension of affected features
  • Upgrade recommendation to a higher tier

6. Licenses

6.1 Limited License to Use the Service

Subject to your complete and ongoing compliance with these Terms, The Deep Lab grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes, including embedding the Archet widget on your websites and using our APIs in accordance with your subscription plan.

6.2 License Restrictions

Except and solely to the extent such a restriction is impermissible under applicable law, you may not: (a) reproduce, distribute, publicly display, publicly perform, or create derivative works of the Service; (b) make modifications to the Service; (c) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code or underlying structure, ideas, know-how, or algorithms relevant to the Service; (d) interfere with or circumvent any feature of the Service, including any security or access control mechanism; or (e) use the Service in any way that is not expressly permitted by these Terms.

6.3 Feedback

If you choose to provide input and suggestions regarding existing functionalities, problems with, or proposed modifications or improvements to the Service ("Feedback"), then you hereby grant The Deep Lab an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right and license to exploit the Feedback in any manner and for any purpose, including to improve the Service and create other products and services. We will have no obligation to provide you with attribution for any Feedback you provide.

7. Intellectual Property and AI-Generated Output

7.1 The Deep Lab IP

The Deep Lab owns and retains all right, title, and interest in and to the Service, including all visual interfaces, graphics, design, compilation, information, data, computer code, products, software, services, and all other elements of the Service, and all improvements, enhancements, customizations, or modifications thereto ("Materials"). The Materials are protected by intellectual property and other laws. Except as expressly authorized by The Deep Lab, you may not make use of the Materials. The Deep Lab reserves all rights to the Materials not granted expressly in these Terms.

7.2 Customer Data

As between you and The Deep Lab, you own all right, title, and interest in and to any agent configurations, knowledge base content, documents, and other works that you submit, upload, or otherwise transmit to the Service ("Customer Data").

7.3 AI-Generated Output

The Service generates AI agent responses, conversation summaries, and other content based on your agent configurations and knowledge base ("Output"). Subject to your compliance with these Terms, The Deep Lab assigns to you all of its right, title, and interest (if any) in and to the Output generated specifically for you. You acknowledge that Output is generated by AI models and:

  • (a) may contain errors, inaccuracies, or misleading information;
  • (b) may be similar or identical to Output generated for other users if based on similar inputs;
  • (c) is not a substitute for professional advice and should be reviewed for accuracy before use or reliance.

The Deep Lab makes no warranties regarding the Output, including its accuracy, completeness, or non-infringement of third-party rights. You are solely responsible for your use of the Output and for ensuring it complies with applicable laws.

8. Customer Data and Usage Data

8.1 License to Customer Data

You grant The Deep Lab a worldwide, non-exclusive, royalty-free, fully paid-up license to host, store, transfer, display, perform, reproduce, modify (for the purpose of formatting for display or processing), and distribute your Customer Data, in whole or in part, solely for the purpose of providing and operating the Service for you.

8.2 No Training on Customer Data

Our Commitment to Your Data Privacy

THE DEEP LAB WILL NOT USE YOUR CUSTOMER DATA (AGENT CONFIGURATIONS, KNOWLEDGE BASE CONTENT, CONVERSATION DATA, OR OTHER CONTENT) TO TRAIN, OR ALLOW ANY THIRD PARTY TO TRAIN, ANY AI MODELS, UNLESS YOU HAVE EXPLICITLY AGREED TO SUCH USE.

Limited exceptions where we may review or use your data:

  • Security review: When automated systems flag potential security threats or Terms violations
  • Explicit feedback: When you explicitly report errors or provide feedback about agent behavior
  • Opt-in consent: If you explicitly opt in to allow your data to be used for service improvement

We configure our AI provider (Anthropic) to not use your data for training their models. Our use of Customer Data is further described in our Privacy Policy.

8.3 End Customer Data

You are the data controller for end customer conversations conducted through your deployed agents. You are responsible for complying with applicable privacy laws regarding your end customers' data, including providing appropriate privacy notices and disclosing that end customers are interacting with an AI agent.

8.4 Usage Data

The Deep Lab may collect, generate, and derive performance, analytical, or usage data related to your access to or use of the Service ("Usage Data"). Usage Data will be anonymized and aggregated and will not include personally identifiable information or specific Customer Data content. The Deep Lab may use Usage Data to provide, monitor, and improve the Service and its other offerings.

9. Widget SDK and Deployments

When you deploy an agent via the embeddable widget SDK, you agree to:

  • Configure domain allowlists to restrict widget embedding to authorized domains
  • Disclose to end customers that they are interacting with an AI agent
  • Maintain appropriate privacy policies on your websites that cover the collection and use of conversation data
  • Secure your deployment API keys and not expose them in client-side code
  • Not modify the widget in ways that mislead end customers or violate applicable laws

10. Acceptable Use Policy

10.1 Permitted Uses

  • Build and deploy AI agents for legitimate business purposes
  • Crawl websites you own or have authorization to crawl for knowledge base content
  • Use the Service's API in accordance with your plan limits
  • Integrate third-party services through authorized MCP connectors

10.2 Prohibited Uses

You agree NOT to:

  • Competitive Use: Use the Service to develop, train, or improve any AI model or service that is competitive with the Service
  • Harmful Agents: Create agents that generate harmful, misleading, illegal, or discriminatory content
  • Unauthorized Crawling: Crawl websites without authorization or in violation of their terms of service or robots.txt
  • Impersonation: Configure agents to impersonate real individuals or entities without authorization
  • Illegal Activities: Use the Service to violate any laws or regulations
  • Reverse Engineering: Attempt to reverse engineer, decompile, disassemble, or hack the Service or its underlying AI models
  • Security Abuse: Abuse rate limits, quotas, or attempt to bypass security measures, access controls, or usage restrictions
  • Malicious Content: Upload malware, viruses, or any content designed to harm the Service or other users
  • Unauthorized Distribution: Resell, sublicense, or redistribute the Service without explicit authorization

Enforcement

Violation of these restrictions may result in immediate suspension or termination of your account and may expose you to legal liability. We reserve the right to investigate suspected violations and cooperate with law enforcement authorities.

11. Third-Party Services

The Service integrates with and relies on third-party services, including AI model providers (Anthropic), payment processors (Stripe), authentication providers (Firebase), cloud hosting (Google Cloud Platform), and third-party MCP connectors. Your use of these third-party services through Archet may be subject to their respective terms and privacy policies. The Deep Lab is not responsible for the practices, availability, or performance of these third-party providers. We pass conversation data and knowledge base content to Anthropic to generate agent responses. Please review our Privacy Policy for more details on data sharing with these providers.

12. Communications

By using the Service, you consent to receiving certain electronic communications from us as further described in our Privacy Policy. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing. We may send you emails concerning our products and services. You may opt out of promotional emails by following the unsubscribe instructions in those emails or by contacting us.

13. Modification of these Terms

We may, from time to time, change these Terms. Please check these Terms periodically for changes. If we make any material modifications, we will notify you by updating the "Last updated" date at the top of these Terms and by maintaining a current version of these Terms on our website. We may also provide additional notice, such as through the Service user interface or by email. All modifications will be effective when they are posted, and your continued access or use of the Service after the modifications have become effective will serve as confirmation of your acceptance of those modifications. If you do not agree to the modified Terms, then you should discontinue your use of the Service.

14. Term, Termination, and Modification of the Service

14.1 Term

These Terms are effective beginning when you accept them or first access or use the Service, and ending when terminated as described in this Section.

14.2 Termination

If you violate any provision of these Terms, your authorization to access the Service and these Terms automatically terminate. In addition, The Deep Lab may, at its sole discretion, terminate these Terms or your account on the Service, or suspend or terminate your access to the Service, at any time for any reason or no reason, with or without notice. You may terminate your account and these Terms at any time through the account settings page or by contacting customer support.

14.3 Effect of Termination

Upon termination of these Terms: (a) your license rights will terminate and you must immediately cease all use of the Service; (b) you will no longer be authorized to access your account or the Service; (c) you must pay The Deep Lab any unpaid amount that was due prior to termination; (d) your deployed widgets will cease functioning; and (e) all payment obligations accrued prior to termination and relevant Sections will survive.

14.4 Modification of the Service

The Deep Lab reserves the right to modify or discontinue all or any portion of the Service at any time (including by limiting or discontinuing certain features), temporarily or permanently, without notice to you. The Deep Lab will have no liability for any change to the Service or any suspension or termination of your access to or use of the Service.

15. Indemnity

To the fullest extent permitted by law, you are responsible for your use of the Service, and you will defend and indemnify The Deep Lab, its affiliates and their respective shareholders, directors, managers, members, officers, employees, consultants, and agents (together, the "The Deep Lab Entities") from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including reasonable attorneys' fees and costs, arising out of or connected with: (a) your unauthorized use of, or misuse of, the Service; (b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third-party right, including any intellectual property right or publicity, confidentiality, other property, or privacy right; (d) any dispute or issue between you and any third party; or (e) your end customers' interactions with your deployed agents and any claims arising therefrom.

16. Disclaimers; No Warranties

THE SERVICE AND ALL MATERIALS AND CONTENT (INCLUDING OUTPUT) AVAILABLE THROUGH THE SERVICE ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. THE DEEP LAB DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (B) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. THE DEEP LAB DOES NOT WARRANT THAT THE SERVICE OR ANY PORTION OF THE SERVICE, OR ANY MATERIALS OR CONTENT OFFERED THROUGH THE SERVICE (INCLUDING OUTPUT), WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND THE DEEP LAB DOES NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE SERVICE OR THE DEEP LAB ENTITIES OR ANY MATERIALS OR CONTENT AVAILABLE THROUGH THE SERVICE (INCLUDING OUTPUT) WILL CREATE ANY WARRANTY REGARDING ANY OF THE DEEP LAB ENTITIES OR THE SERVICE THAT IS NOT EXPRESSLY STATED IN THESE TERMS. YOU UNDERSTAND AND AGREE THAT YOU USE ANY PORTION OF THE SERVICE AT YOUR OWN DISCRETION AND RISK, AND THAT WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY OR ANY LOSS OF DATA, INCLUDING CUSTOMER DATA.

THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. The Deep Lab does not disclaim any warranty or other right that The Deep Lab is prohibited from disclaiming under applicable law.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE DEEP LAB ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY MATERIALS OR CONTENT ON THE SERVICE (INCLUDING OUTPUT), WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY THE DEEP LAB ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE DEEP LAB ENTITIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO THE DEEP LAB FOR ACCESS TO AND USE OF THE SERVICE IN THE 6 MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO THE CLAIM OR, IF GREATER, (B) USD $100.

EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS BETWEEN THE PARTIES UNDER THESE TERMS. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. THE LIMITATIONS IN THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

18. Dispute Resolution and Arbitration

18.1 Governing Law

These Terms will be governed by and construed and enforced in accordance with the laws of the State of California, without regard to conflict of law rules or principles (whether of California or any other jurisdiction) that would cause the application of the laws of any other jurisdiction. Any dispute between the parties that is not subject to arbitration or cannot be heard in small claims court will be resolved in the state or federal courts of California and the United States, respectively, sitting in San Francisco, California.

18.2 Arbitration Agreement

Except for disputes that qualify for small claims court, all disputes arising out of or related to these Terms or any aspect of the relationship between you and The Deep Lab, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, will be resolved through final and binding arbitration before a neutral arbitrator instead of in a court by a judge or jury.

18.3 Arbitration Rules

The arbitration will be administered by the American Arbitration Association (AAA) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the "AAA Rules") then in effect, except as modified by this Section. The AAA Rules are available at www.adr.org or by calling the AAA at 1-800-778-7879. The Federal Arbitration Act will govern the interpretation and enforcement of this Section.

18.4 Class Action Waiver

YOU AND THE DEEP LAB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and The Deep Lab agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

18.5 Opt-Out Right

You Have the Right to Opt Out of Arbitration

You may opt out of this arbitration agreement by sending written notice to The Deep Lab within 30 days of account creation or within 30 days of any material changes to this Section (whichever is later).

Your opt-out notice must include:

  • Your full name
  • Your account email address
  • A clear statement that you wish to opt out of this arbitration agreement

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Deep Lab with respect to the Service and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the Service.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

19.3 No Waiver

The failure of The Deep Lab to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without The Deep Lab's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. The Deep Lab may freely assign or transfer these Terms. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
